FlexyB Solutions provides a dynamic digital display service through interactive kiosks located in high-traffic partner establishments. This service allows businesses, brands, or merchants (hereinafter referred to as the “Client”) to display promotional digital content such as visuals, videos, advertisements, or digital gift cards for a specified period. The granted usage right is non-exclusive, non-transferable, and subject to full compliance with these Terms and Conditions.
The Client declares they are legally capable of entering into this agreement, either personally (as a legal adult) or as a duly authorized representative of a legal entity. The Client further guarantees they hold all necessary rights, licenses, and authorizations to submit the content for display, including copyrights, trademarks, usage licenses, and broadcasting rights.
The Client is solely responsible for the content displayed. They agree not to submit or display any content that is: illegal, fraudulent, defamatory, obscene, hateful, discriminatory or violent; infringes on intellectual property or privacy/image rights of third parties; contrary to public order or decency; or prohibited by applicable laws, regulations, or digital advertising policies. FlexyB Solutions reserves the right, at its sole discretion, to reject, alter, suspend, or remove any content deemed inappropriate or non-compliant, without notice or compensation.
The Client grants FlexyB Solutions a worldwide, non-exclusive, royalty-free license for the duration of the agreement to use, host, format (for technical purposes), publicly display, and distribute the submitted content exclusively as part of the display service on its kiosks.
FlexyB Solutions will make all reasonable efforts to ensure the availability and performance of its kiosks. However, temporary interruptions may occur due to maintenance, breakdowns, or technical issues beyond its control. If the service is interrupted for more than 48 consecutive hours, the downtime will automatically be added to the remaining contract period.
Advertising display fees and rates are set according to the conditions specified in the digital integration forms. They must be paid prior to publication and may vary accordingly. Purchases are made through secure credit card payment, and an electronic invoice is sent to the User once the transaction is confirmed.
The Client retains full intellectual property rights over their content. FlexyB Solutions retains all rights to its technologies, kiosks, software, interfaces, and trademarks. No rights are transferred to the Client unless otherwise expressly agreed in writing.
The agreement may be terminated: at expiration, by either party; for material breach, after written notice describing the breach, if not remedied within 30 days; or in case of illegal or non-compliant content, FlexyB Solutions may remove the content and/or suspend the service without prior notice. All amounts due for services rendered up to the effective termination date remain payable.
Both parties agree to protect the confidentiality of any commercial, technical, or strategic information exchanged as part of the service, including pricing and marketing campaigns.
